Work Schedule: Monday–Friday, 9:00 AM–5:00 PM | Hybrid schedule

Job Description:

We are seeking an experienced Corporate Paralegal to support a busy transactional legal team in Chicago. This position will play an integral role in corporate and M&A matters, assisting attorneys throughout the full lifecycle of transactions.

The ideal candidate will bring strong law firm experience, knowledge of corporate transactions and mergers and acquisitions, and the ability to independently manage documentation, due diligence, filings, and closing-related activities.

Key Responsibilities:

  • Provide paralegal support for corporate, M&A, financing, and other business transactions.
  • Assist with transactions from initial due diligence through closing and post-closing activities.
  • Create, organize, and maintain virtual data rooms and transaction-related documentation.
  • Draft corporate resolutions, governance materials, entity documents, and other transactional paperwork.
  • Prepare and coordinate closing documents, signature materials, and electronic closing binders.
  • Complete and submit Form D, Blue Sky, UCC, and applicable IRS filings.
  • Assist with entity formations and maintain corporate governance and organizational records.
  • Review transactional matters to identify filing requirements, deadlines, tax considerations, and other administrative needs.
  • Track critical dates and deliverables using the firm's docketing and matter-management systems.
  • Communicate professionally with attorneys, clients, outside parties, and other stakeholders throughout transactions.
  • Support multiple concurrent matters while adjusting priorities to meet changing deadlines.

Qualifications:

  • Bachelor's degree or Paralegal Certificate required.
  • 5+ years of corporate transactional paralegal experience, preferably within a law firm environment.
  • Hands-on experience supporting mergers and acquisitions (M&A) is required.
  • Experience coordinating transactions through due diligence, closing, and post-closing stages.
  • Knowledge of corporate document preparation and entity governance matters.
  • Experience preparing regulatory and transactional filings, including UCC Financing Statements, Form D, Blue Sky, and IRS documents.
  • Strong written and verbal communication skills with the ability to interact confidently with clients and legal professionals.
  • Excellent organization, attention to detail, and deadline-management abilities.
  • Proficiency with Microsoft Office and Adobe; experience with iManage or similar document management platforms is a plus.
  • Ability to work occasional overtime based on transaction deadlines.
