Senior Paralegal (Contract)
Location: Chicago, IL (Hybrid)
Schedule: Minimum 3 days onsite weekly (Tuesday-Thursday)
Duration: Short-term contract with potential for extension
LHH is working with a leading organization is seeking an experienced Senior Paralegal to provide support in corporate governance, insurance regulatory compliance, and public company reporting matters. This role is ideal for a highly organized legal professional with extensive experience managing regulatory filings, board materials, and corporate governance responsibilities.

Key Responsibilities
- Prepare and file documents with regulatory agencies, including Departments of Insurance and Secretaries of State.
- Draft, review, and coordinate board of directors and committee materials, resolutions, certifications, and related corporate governance documents.
- Conduct legal and corporate research, analyzing and summarizing findings for stakeholders.
- Prepare and file SEC Section 16 filings, including Forms 3, 4, 5, and Form ID.
- Prepare and submit NYSE filings through applicable filing platforms.
- Coordinate foreign entity filings and regulatory questionnaires.
- Partner with legal, compliance, and business stakeholders to ensure timely completion of projects and regulatory requirements.
- Maintain confidentiality while handling sensitive corporate and legal information.
- Bachelor's degree required; Paralegal Certificate preferred.
- 10+ years of paralegal experience, with a focus on corporate governance, insurance regulation, or regulatory compliance.
- Extensive experience preparing and filing documents with regulatory agencies.
- Experience supporting board of directors and committee activities.
- Knowledge of insurance regulatory requirements and Department of Insurance filing processes.
- Experience preparing and managing UCAA applications and Secretary of State filings.
- Familiarity with SEC reporting requirements, EdgarNext, and NYSE Filing Manager.
- Strong legal and corporate research skills.
- Excellent organizational, analytical, and communication skills.
- Ability to manage multiple priorities and deadlines in a fast-paced environment.

- Public company corporate governance support.
- Insurance company legal and regulatory compliance work.
- Securities and corporate filing experience.
- Multi-jurisdictional regulatory filing experience.
- Exceptional attention to detail and accuracy.
- Strong judgment in handling confidential matters.
- Ability to work independently while collaborating effectively with cross-functional teams.
- Professionalism, flexibility, and a proactive approach to problem-solving.
