Job Type: Full time

Compensation: $90-$135/hr

Duration: 6 months with possibility of extension

LHH is partnering with one of the world's most influential investors in artificial intelligence and emerging technologies to identify a Commercial Contracts Counsel for a high-impact contract engagement.

This is a unique opportunity to join a cutting-edge organization at the forefront of AI, robotics, and next-generation innovation. The Commercial Contracts Counsel will play a key role in supporting complex commercial transactions, vendor and procurement agreements, and data privacy initiatives while helping to drive operational excellence across the contracting function.

Responsibilities
  • Draft, review, and negotiate commercial contracts, including vendor agreements, services agreements, statements of work (SOWs), software/SaaS and IT agreements, and similar business contracts.
  • Handle everyday agreements that internal teams such as Finance, IT, Marketing, and HR need to operate, for example accounting firm engagement SOWs, IT/software agreements, and HR vendor agreements.
  • Absorb contract overflow to reduce outside counsel spend.
  • Develop playbooks to standardize preferred contract positions, acceptable fallbacks, and escalation triggers.
  • Develop templates, and process improvements to support a scalable contracting function.
  • Support data privacy matters, including assessing data privacy issues; drafting, reviewing, and negotiating data processing agreements (DPAs) and related data protection terms, working with the privacy team.
  • Support requirements-gathering and rollout of a contract management or procurement system (e.g., Zip, Ramp), helping define contract intake, approvals, and workflows.
Qualifications
  • J.D. from an accredited law school and active bar membership in good standing
  • 5+ years of experience focused on commercial contracting
  • Demonstrated experience managing a high volume of contract drafting, review, and negotiation
  • Strong experience with vendor, procurement, technology, and commercial agreements
  • Working knowledge of data privacy matters, including DPAs
  • Experience supporting AI, robotics, procurement, or emerging technology initiatives
Preferred Qualifications
  • Prior in-house legal experience
  • Familiarity with CLM and procurement platforms such as Ironclad, Zip, Ramp, or similar systems
