Jereh North America Group is seeking a highly motivated and business-minded Corporate Counsel – Commercial Contracts to join our growing legal team in Houston.


This is a hands-on, business-facing in-house counsel role with primary responsibility for commercial contract drafting, review, negotiation, and contract lifecycle management. The successful candidate will be expected to independently manage routine commercial matters, work directly with business teams and external counterparties, and provide practical, solution-oriented legal advice.


The ideal candidate is not simply a strong contract reviewer, but an effective negotiator and collaborative business partner who can understand commercial objectives, identify material legal and business risks, communicate clearly with non-legal stakeholders, and help the business achieve its objectives while maintaining appropriate legal protections.


This position offers an excellent opportunity to work in a dynamic international environment and gain broad exposure to oil and gas equipment, field services, energy, power generation, and cross-border commercial transactions, including U.S.–China business matters.


Key Responsibilities

  • Contract Management: Independently draft, review, negotiate, and manage a broad range of commercial agreements, including sales, procurement, vendor, service, NDA, EPC, and other business contracts.
  • Commercial Negotiation: Lead and participate in contract negotiations with customers, suppliers, vendors, business partners, and their counsel, balancing legal protection with commercial objectives.
  • Risk Management: Identify and assess key legal, compliance, and commercial risks and provide clear, practical recommendations to business stakeholders.
  • Business Partnership: Work closely with sales, procurement, operations, engineering, finance, and other teams to provide practical legal support and resolve contractual and business issues.
  • Legal Operations: Manage contracts through the full lifecycle, maintain legal and contract records, and support the development of contract templates, operating procedures, and legal processes.

Required Qualifications

  • Active Texas Bar license and in good standing.
  • 5+ years of substantial experience in commercial contracts and business transactions.
  • J.D. degree from an accredited law school.
  • Proven ability to independently draft, review, and negotiate commercial agreements.
  • Strong hands-on contract negotiation experience, including direct negotiations with customers, suppliers, vendors, or other counterparties.
  • Demonstrated ability to manage routine contract matters independently, identify material risks, and exercise sound judgment on when to escalate.
  • Strong legal drafting, analytical, communication, and organizational skills, with the ability to manage multiple priorities and meet deadlines.

Preferred Qualifications

  • Strongly preferred: Experience in the power generation or energy industry, particularly with Master Services Agreements (MSAs), Long-Term Service Agreements (LTSAs), EPC contracts, equipment supply agreements, or other project-based commercial contracts.
  • Strongly preferred: Experience with corporate transactions, M&A, or other general corporate matters.
  • Experience working in a multinational or international business environment, including companies with cross-border operations or collaboration between other jurisdictions, particularly in a manufacturing, energy, power generation or AIDC context.
  • Familiarity with U.S.–China cross-border business and commercial matters.
