A client's premier Real Estate Joint Venture Finance (REJVF) practice is seeking a highly qualified mid-level associate attorney with substantial experience navigating complex real estate transactions across multiple asset classes and jurisdictions. This role offers the opportunity to work alongside market-leading attorneys on complex real estate financings, joint venture structuring, and high-value land acquisitions spanning multi-office, industrial, commercial retail, and hospitality sectors.
Responsibilities:
- Represent lenders, borrowers, sponsors, and institutional investors in a wide range of real estate financing transactions, including senior, mezzanine, bridge, construction, and preferred equity financings.
- Structure and negotiate complex real estate joint ventures involving private equity real estate funds, REITs, family offices, developers, and institutional capital partners.
- Advise on acquisitions, dispositions, recapitalizations, and portfolio transactions involving diverse real estate asset classes.
- Draft and negotiate loan agreements, JV operating agreements, purchase and sale agreements, commitment letters, and related transaction documentation.
- Manage and coordinate diligence, deal execution, and closing processes with internal teams, clients, and opposing counsel.
- Support cross-office and cross-disciplinary teams on matters involving fund formation, tax structuring, and real estate private equity transactions.
Requirements:
- 4–8 years of relevant law firm experience in real estate finance, real estate joint ventures, or complex acquisitions/dispositions at comparable sophisticated law firm.
- Strong background in handling lender-side financing and Joint Venture financial structuring.
- Demonstrated experience with multi-asset class transactions; comfort operating within varied markets including DC and NY.
- Outstanding academic credentials or extra-curriculars from an ABA-accredited law school.
- Exceptional drafting, negotiation, and communication skills, with the ability to manage client relationships and prioritize competing deadlines.
- Strong business judgment and the ability to operate autonomously on mid-sized matters while working collaboratively on larger-scale transactions.
- Active bar membership in DC or NY, or eligibility for prompt admission to both.
Preferred Attributes:
- Experience interacting directly with private equity real estate clients, REITs, national lenders, and global financial institutions.
- Deal sheet reflecting complexity and volume consistent with top-tier real estate practice groups.
- Ability to work effectively across offices and contribute to a fast-paced, high-performing practice.
- Dual Bar License in New York and Washington, DC.
