Attorney - In-House Counsel
Job Description
A privately held family office based in Greensboro is seeking an attorney with approximately two to four years of experience to serve as In-House Counsel.
This is not a traditional legal-department position. The attorney will work closely with the firm’s senior executive and principals in evaluating, negotiating, documenting, and completing a wide variety of business and investment transactions. The position is well suited for a lawyer who wants direct exposure to executive decision-making and the opportunity to participate in transactions from their earliest discussion through final execution.
Position Responsibilities
The attorney will:
- Work directly with the firm’s senior executive and principals on business transactions, investments, real estate matters, financing arrangements, insurance, and other strategic initiatives.
- Translate negotiated business terms into clear and complete legal documents.
- Draft, review, and negotiate contracts, letters of intent, purchase and sale agreements, leases, confidentiality agreements, consulting agreements, and related transaction documents.
- Communicate and negotiate with counterparties, attorneys, brokers, lenders, consultants, and other outside professionals on behalf of the firm.
- Coordinate transaction timelines, due diligence, document production, approvals, and closing requirements.
- Identify legal, financial, and business risks and present them to senior management in a practical and understandable manner.
- Manage and coordinate outside legal counsel when specialized expertise is required.
- Assist with corporate governance, entity management, compliance, and the maintenance of legal and transaction records.
- Follow matters through completion and ensure that agreements accurately reflect the business understanding reached by the parties.
Candidate Profile
The successful candidate should have:
- A law degree from an accredited law school and an active license to practice law in North Carolina, or the ability to obtain one promptly.
- Approximately two to four years of relevant legal experience.
- Experience in corporate transactions, commercial contracts, real estate, finance, mergers and acquisitions, or a related practice area.
- Strong drafting, organizational, communication, and negotiation skills.
- The ability to understand the business purpose of a transaction rather than focusing only on technical legal issues.
- The judgment and confidence to interact directly with senior executives and sophisticated counterparties.
- A practical, responsive, and results-oriented approach.
- The ability to manage multiple matters simultaneously in a fast-moving, entrepreneurial environment.
- High standards of discretion, professionalism, and confidentiality.
Compensation
Competitive base salary commensurate with experience, anticipated to be in the range of $115,000 to $135,000, together with an annual performance bonus and benefits.
