Salary: $260,000–$390,000
Direct Counsel is seeking a Transactions Associate Attorney to join a leading national law firm's Transactions practice in Silicon Valley, San Francisco, or San Diego. This opportunity is ideal for an associate with 3–5 years of relevant transactional experience who is interested in building a broad corporate practice.
The successful candidate will work on a diverse mix of emerging companies and venture capital financings, mergers and acquisitions, private equity transactions, joint ventures, and general corporate counseling. This role offers meaningful client interaction and the opportunity to work with publicly and privately held companies, private equity funds, investors, and entrepreneurs in a fast-paced and collaborative environment.
Responsibilities- Represent public and private companies, private equity funds, investors, and entrepreneurs in a variety of corporate and transactional matters.
- Advise emerging companies and venture capital clients on financing and corporate matters.
- Handle venture capital and early-stage financing transactions.
- Support mergers, acquisitions, and dispositions.
- Assist with private equity transactions and investments.
- Draft, review, and negotiate transaction documents and related agreements.
- Support joint ventures and other commercial transactions.
- Provide general corporate counseling to clients throughout their business life cycles.
- Assist with capital markets transactions and public company reporting, as applicable.
- Conduct due diligence and assist with transaction structuring and execution.
- Manage transaction workstreams and coordinate with clients, opposing counsel, and other advisors.
- Communicate directly with clients and develop meaningful client relationships.
- Contribute to business development and the growth of the corporate practice.
- Collaborate with partners and other attorneys across the firm's corporate and transactional practices.
- J.D. from an ABA-accredited law school.
- Strong academic credentials.
- 3–5 years of relevant corporate and transactional experience.
- Experience with venture capital and early-stage financings.
- Experience with mergers and acquisitions, dispositions, joint ventures, and other commercial transactions.
- General corporate counseling experience.
- Private equity experience is preferred.
- Experience with capital markets transactions and public company reporting is preferred.
- Strong drafting, analytical, and communication skills.
- Excellent interpersonal and client relationship skills.
- Demonstrated business development aptitude.
- Positive attitude and exceptional work ethic.
- Ability to work effectively in a fast-paced, collaborative environment.
- Strong interest in developing a long-term corporate practice with meaningful client-facing responsibility.
- Active California Bar membership and good standing required.
- Competitive base salary of $260,000–$390,000, depending on experience, qualifications, internal equity, and other applicable factors.
