LEGAL AND COMPLIANCE MANAGER
Private Markets Investment Manager | San Francisco, CA | Hybrid
The Opportunity
Our client is an established private-markets investment manager focused on venture capital and related strategies, including primary fund commitments, secondary transactions, co-investments, and direct investments. The firm is seeking a Legal and Compliance Manager to join its San Francisco-based Legal & Compliance team.
Reporting to the Head of Legal and Compliance, this person will coordinate and execute a broad range of fund governance, investment, regulatory compliance, and commercial legal activities. The role is well suited to a highly organized, hands-on professional who can manage recurring processes, exercise sound judgment, and collaborate effectively across investment, investor relations, finance, and operations teams.
Key Responsibilities
- Oversee legal and governance activities for private investment funds, including general partner documentation, fund formation and post-formation matters, subscription documents and trackers, limited partner transfers, entity formations and dissolutions, fund consents, amendments and extensions, and investor side-letter terms.
- Manage the legal process and tracking for investments throughout their life cycle, including primary fund investments, co-investments, secondary transactions, and direct investments in operating companies.
- Review investment documentation, background-check and due-diligence materials; confirm fund guidelines and restrictions; document investment allocations; coordinate advisory committee assignments; and maintain complete, accurate records.
- Lead recurring fund and regulatory compliance processes, which may include fund registrations and maintenance, anti-money laundering requirements, jurisdictional registrations, regulatory filings, and foreign compliance-program setup and oversight.
- Maintain organizational charts, approval-authority matrices, and other internal governance records, and support investor due-diligence requests, RFPs, DDQs, and on-site meetings in partnership with investor relations.
- Support implementation and ongoing administration of the firm's compliance policies and procedures, including participation in the annual compliance review.
- Manage obligation tracking for selected fund and side-letter provisions and improve document-management processes, version control, accessibility, and cross-functional source-of-truth records.
- Serve as a primary point of contact for selected external legal and compliance vendors, independently handling routine matters and escalating issues when appropriate.
- Respond to day-to-day legal requests from investment and operations teams, including non-disclosure agreements, service agreements, and other routine commercial contracts.
- Support evolving legal and regulatory initiatives, legal invoice review and allocation, research on new laws and regulations, special projects, and process improvements across the Legal & Compliance function.
Qualifications
- At least six years of relevant experience in a similar legal, compliance, fund-operations, or paralegal role; experience within private funds, investment management, or a registered investment adviser strongly preferred.
- Working knowledge of private investment fund structures, governance, and the legal and regulatory framework applicable to investment managers.
- Ability to interpret organizational charts, signature blocks, fund documents, investment agreements, and related governance materials.
- Experience reviewing, negotiating, summarizing, and organizing commercial contracts and other legal agreements.
- Experience with virtual data rooms and/or legal agreement-management tools, including document upload, redlining, version control, and organization.
- Strong Microsoft Office skills, including Excel.
- Exceptional organization, planning, judgment, and attention to detail, with the ability to manage multiple recurring and ad hoc priorities.
- Proactive, self-directed working style and a demonstrated ability to identify process improvements and follow matters through to completion.
- High standards of integrity, discretion, professionalism, and teamwork.
Education and Credentials
- Bachelor's degree in a relevant field required.
- Paralegal certification and/or active Notary Public commission are helpful but not required.
Location and Work Arrangement
This role is based in San Francisco and follows a hybrid schedule, with four days per week in the office.
