Public Finance Associate Attorney – Sacramento

Direct Counsel is seeking a Public Finance Associate Attorney to join a nationally recognized law firm’s highly regarded Public Finance practice in Sacramento. This is an excellent opportunity for an attorney with 3–6 years of law firm experience to work on sophisticated public finance transactions representing a broad range of governmental, nonprofit, financial, and private-sector clients.

The Public Finance practice handles the full spectrum of financing matters, including municipal bonds, tax-exempt and taxable financings, public infrastructure projects, nonprofit facilities, housing, energy, water and wastewater projects, public-private partnerships, and other complex transactions.

Responsibilities
  • Represent governmental entities, nonprofit organizations, investment banks, bond purchasers, developers, and other clients in sophisticated public finance transactions.

  • Work on municipal bonds, notes, and other debt obligations, including tax-exempt and taxable financings.

  • Assist with financings involving public infrastructure and capital improvement projects.

  • Support transactions involving nonprofit health care, educational, cultural, and low-income housing facilities.

  • Work on financings for energy, water, wastewater, multifamily housing, waste, and other projects.

  • Assist with Indian Tribal financings, public-private partnerships, securitizations, and secondary market transactions.

  • Support matters involving IRS audits, SEC investigations and enforcement actions, bankruptcies, and workouts.

  • Conduct legal research and analysis and prepare high-quality transactional documents and written work product.

  • Collaborate with senior attorneys, clients, financial institutions, and other transaction participants to efficiently execute complex matters.

  • Develop and maintain strong client relationships through responsive and professional service.

Qualifications
  • 3–6 years of relevant law firm experience.

  • J.D. from an accredited law school.

  • Admission to a U.S. state bar and satisfaction of all applicable requirements for the jurisdiction.

  • Strong transactional background preferred.

  • Excellent writing, communication, organizational, and interpersonal skills.

  • Strong attention to detail and ability to manage multiple priorities.

  • Highly motivated with a commitment to providing superior client service.

  • Ability to work effectively both independently and collaboratively.

Preferred Experience

Experience in public finance transactions, UCC matters, and/or securities law is a plus, but is not required. Candidates without direct public finance experience may be considered due to the practice’s robust on-the-job training program.

Compensation & Benefits

The expected salary range for this position is $260,000–$390,000, depending on qualifications, relevant experience, education, skills, expertise, and geography. Additional compensation may include an annual discretionary merit bonus based on firm and individual performance.
