We are looking for an experienced corporate paralegal to join a legal team on a contract basis in Columbus, Ohio on a hybris basis. This role supports a range of high-impact corporate matters, including investment, financing, and acquisition activity, while partnering closely with attorneys, business stakeholders, and external advisors. The position is well suited for someone who brings strong judgment, transaction experience, and the ability to keep complex legal processes organized from diligence through closing.


Responsibilities:

• Coordinate legal support for corporate transactions by organizing diligence workflows, maintaining virtual data rooms, and helping move matters from initial review through execution and closing.

• Prepare, assemble, and refine transaction-related materials, including draft agreements, disclosure support documents, approval packages, and closing deliverables.

• Track due diligence requests, gather and summarize findings, and work with internal teams and outside counsel to resolve open items efficiently.

• Assist with regulatory and compliance-related filings connected to corporate deals, including antitrust submissions and other required legal documentation.

• Contribute to post-closing legal follow-up activities, including integration support, documentation management, and coordination with affected business functions.

• Help build and maintain practical legal resources such as transaction playbooks, checklist templates, precedent files, and process guides to improve future deal execution.

• Support insider trading and stock ownership compliance matters by preparing Section 16 filings, monitoring reporting obligations, and maintaining related records and reference materials.

• Conduct legal and corporate governance research, including review of applicable statutes and formalities, with emphasis on Ohio and Delaware corporate requirements.

• Partner with attorneys, executives, business clients, and third-party advisors to manage signatures, notarizations, and other administrative steps required for corporate actions.

• Minimum of 8 years of experience in a corporate transactional paralegal role.

• Demonstrated background supporting mergers and acquisitions, venture capital investments, debt or equity offerings, or other complex corporate transactions.

• Working knowledge of corporate law procedures, governance documentation, and legal closing mechanics.

• Experience handling due diligence, document review, filing coordination, and transaction support in a fast-paced legal environment.

• Familiarity with Section 16 reporting obligations and stock trading compliance processes for directors, officers, or other insiders.

• Strong legal research, documentation, and organizational skills with close attention to detail.

• Ability to communicate effectively with attorneys, senior leaders, internal stakeholders, and outside advisors.

• Willingness to travel as needed to company and third-party locations in support of business requirements.

This is hybrid 2 days in office.
