Salary: $235,000–$365,000
Direct Counsel is seeking a Capital Markets Associate Attorney to join a leading global law firm's Capital Markets practice in Dallas. This opportunity is ideal for a mid-level associate with 3–5 years of experience representing underwriters, issuers, and placement agents in sophisticated securities offerings.
The successful candidate will advise clients across a broad range of capital markets transactions, including initial public offerings, follow-on offerings, private placements, and other securities transactions, while working in a collaborative and sophisticated transactional environment.
ResponsibilitiesRepresent underwriters, issuers, and placement agents in a variety of securities offerings.
Advise clients on initial public offerings, follow-on public offerings, private placements, and other capital markets transactions.
Draft, review, and negotiate offering documents and related transaction agreements.
Assist clients with securities law compliance and disclosure requirements.
Conduct legal due diligence in connection with securities offerings.
Coordinate with clients, investment banks, placement agents, auditors, and other transaction participants.
Manage transaction workstreams from initial planning through closing.
Advise public company clients on ongoing securities law and reporting matters, as appropriate.
Support senior attorneys and clients on complex capital markets and securities matters.
J.D. from an accredited law school.
3–5 years of experience practicing in capital markets and securities law.
Experience representing underwriters, issuers, and/or placement agents in securities offerings.
Experience with initial public offerings, follow-on public offerings, private placements, and other securities transactions.
Experience drafting and negotiating offering documents and related transaction agreements.
Familiarity with public company reporting and Securities Exchange Act of 1934 matters is a plus, but not required.
Strong legal research, drafting, analytical, and communication skills.
Excellent organizational and project management abilities.
Ability to manage multiple transactions and deadlines in a fast-paced environment.
Strong interpersonal skills and commitment to exceptional client service.
Active Texas Bar admission required.
Competitive base salary of $235,000–$365,000, depending on experience and qualifications.
