Finance Associate Attorney – Venture Debt & Growth Financing

Location: Boston, MA
Salary: $235,000–$435,000

Direct Counsel is seeking a Finance Associate Attorney to join a leading global law firm's Financial Industry Group in Boston, with a focus on Venture Debt & Growth Financing. This opportunity is ideal for a mid-level to senior-level associate with 3+ years of experience representing lenders in sophisticated commercial finance transactions.

The successful candidate will represent banks, private credit funds, and other financial institutions in complex financing matters, with opportunities to work with innovative companies across the technology, life sciences, fintech, frontier technology, and digital assets sectors.

Responsibilities
  • Represent banks, private credit funds, and other financial institutions in commercial finance transactions, primarily on the lender side.
  • Draft, review, and negotiate loan agreements and related financing documentation.
  • Draft and negotiate security and collateral documents.
  • Prepare and negotiate intercreditor agreements and other creditor arrangements.
  • Manage and coordinate financing transactions through closing.
  • Advise lender clients on transaction structure, collateral, credit documentation, and related legal considerations.
  • Work with borrowers and their counsel to negotiate and resolve transaction issues.
  • Support venture debt and growth financing transactions for companies across innovative and emerging industries.
  • Collaborate with attorneys and deal teams on domestic and cross-border financing matters.
Qualifications
  • J.D. from an accredited law school.
  • 3+ years of experience handling commercial finance transactions, preferably representing lenders.
  • Experience representing banks, private credit funds, or other financial institutions.
  • Significant experience drafting and negotiating:
    • Loan agreements
    • Security and collateral documentation
    • Intercreditor agreements
    • Closing documents
  • Familiarity with borrowers in the technology, life sciences, fintech, frontier technology, and/or digital assets sectors is strongly preferred.
  • Cross-border transaction experience is a plus.
  • Strong drafting, negotiation, analytical, and problem-solving skills.
  • Excellent written and verbal communication abilities.
  • Ability to manage sophisticated transactions in a fast-paced environment.
  • Active Massachusetts Bar admission required.
