Corporate Mergers & Acquisitions / Private Equity Associate Attorney (3+ Years)

Direct Counsel is seeking a Corporate M&A / Private Equity Associate Attorney to join a highly regarded Am Law 100 law firm in its New York office. This is an excellent opportunity for a corporate attorney with private equity transactional experience to join a sophisticated national corporate practice and work on complex, high-value transactions for leading investors, financial institutions, and businesses.

The ideal candidate will have at least three years of experience handling M&A and private equity transactions and be comfortable working independently while collaborating with a broader deal team.

Responsibilities
  • Represent private equity sponsors, financial institutions, portfolio companies, and other corporate clients in sophisticated transactions.

  • Advise clients on acquisitions, divestitures, mergers, joint ventures, and other strategic transactions.

  • Assist with private equity investments, portfolio company transactions, and platform exits.

  • Conduct and manage due diligence and assist with transaction structuring and execution.

  • Draft, review, and negotiate purchase agreements, merger agreements, joint venture agreements, and other transaction documents.

  • Work closely with clients, opposing counsel, and internal deal teams to efficiently execute transactions.

  • Provide practical, business-oriented legal advice throughout the transaction lifecycle.

  • Contribute to the continued growth of a robust national corporate practice.

Qualifications
  • J.D. or LL.M. from an ABA-accredited law school.

  • 3+ years of M&A and private equity transactional experience.

  • Experience handling acquisitions, divestitures, mergers, and joint ventures.

  • Experience representing private equity funds and/or financial institutions.

  • Strong academic credentials.

  • Excellent written and oral communication skills.

  • Strong critical reasoning, organizational, and analytical abilities.

  • Exceptional attention to detail and ability to manage competing priorities and deadlines.

  • Ability to work effectively and professionally with clients and colleagues.

  • Must be admitted or eligible for admission to the New York Bar.

Work Environment

Collaboration is an important component of the firm's culture. Attorneys are expected to work from the office approximately 60% of the time, in accordance with the firm's current workplace guidelines.

Compensation

Salary: $260,000 annually, plus bonus eligibility.
