Health Law Mergers & Acquisitions Associate Attorney (3+ Years)

Direct Counsel is seeking a Health Law M&A Associate Attorney to join a highly regarded Am Law 100 law firm and its sophisticated national healthcare transactions practice. This position is available in Boston, New York, or Washington, D.C.

The ideal candidate will have at least three years of strategic M&A experience within the healthcare industry and will advise healthcare providers, private equity-backed organizations, and other sophisticated clients on complex transactions. This is an excellent opportunity for an attorney interested in working at the intersection of healthcare regulation, M&A, and private equity.

Responsibilities
  • Handle all aspects of healthcare M&A transactions, including acquisitions, divestitures, mergers, and joint ventures.

  • Draft, review, and negotiate transaction documents.

  • Conduct and report on legal and regulatory due diligence.

  • Manage deal processes and coordinate transaction teams from inception through closing.

  • Communicate directly with clients, co-counsel, opposing counsel, and other transaction professionals.

  • Take the lead on smaller transactions and designated aspects of larger, complex transactions.

  • Direct and manage deal team members and specialists both within and outside the firm.

  • Collaborate with attorneys across practice areas to address transactional and regulatory issues.

  • Provide sophisticated, practical legal advice to healthcare and private equity clients.

  • Anticipate client needs and respond quickly and effectively to requests throughout the transaction process.

Qualifications
  • J.D. or LL.M. from an ABA-accredited law school.

  • 3+ years of strategic M&A experience in the healthcare industry.

  • Experience with acquisitions, divestitures, mergers, and joint ventures.

  • Strong transactional drafting and negotiation skills.

  • Experience managing deal teams and coordinating outside specialists.

  • Strong academic credentials and critical reasoning skills.

  • Excellent written and verbal communication abilities.

  • Strong organizational skills and exceptional attention to detail.

  • Ability to balance competing priorities and work efficiently in a fast-paced environment.

  • Ability to work independently while collaborating effectively as part of a team.

  • Must be admitted or eligible for admission to the Massachusetts, New York, or District of Columbia Bar.

  • Familiarity with healthcare regulatory laws, including the federal Anti-Kickback Statute, Stark Law, state corporate practice of medicine restrictions, and Certificate of Need (CON) and licensing requirements, is preferred.

Work Environment

Collaboration is an important component of the firm's culture. Attorneys are expected to work from the office approximately 60% of the time, in accordance with the firm's current workplace guidelines.

Compensation

Salary Range: $260,000–$365,000 annually, plus bonus eligibility.
