We are looking for an experienced Attorney/Lawyer to join a publicly traded utility organization in Pennsylvania. In this permanent role, you will counsel business divisions and affiliated entities on corporate, operational, and regulatory matters while helping leaders navigate risk and support strategic objectives. The position is well suited for an experienced legal specialist who can balance day-to-day advisory work with complex transactions and cross-functional collaboration.

Responsibilities:
• Provide day-to-day legal guidance to designated business units, regional teams, and subsidiary organizations on a wide range of corporate and operational issues.
• Prepare, examine, and negotiate commercial agreements and other legal documents to protect business interests and support organizational goals.
• Direct legal aspects of mergers, acquisitions, and related transactions, including due diligence activities, deal negotiations, and required approvals.
• Oversee external law firms and specialized advisors engaged for disputes, transactions, and other high-priority legal matters.
• Interpret new and existing laws, regulations, and industry requirements, then translate those developments into practical recommendations for management.
• Advise internal stakeholders on matters involving employment concerns, real estate arrangements, litigation strategy, and utility-related legal questions.
• Contribute to the development of internal policies, legal processes, reporting practices, and enterprise-wide initiatives that require legal input.• Juris Doctor degree from an accredited law school.
• Active license to practice law in the applicable jurisdiction.
• At least 10 years of legal experience, including a minimum of 2 years serving in an in-house or corporate counsel capacity.
• Demonstrated experience handling corporate transactions, with strong exposure to mergers and acquisitions work.
• Proven ability to lead acquisition matters from initial review through closing and post-signing requirements.
• Strong written and verbal communication skills, with the ability to explain complex legal issues clearly to business partners.
• Sound judgment, strong ethical standards, and the ability to manage multiple priorities in a fast-moving environment.
• Proficiency with Microsoft Office applications and legal research resources.
