We are looking for an experienced Corporate Legal Counsel to support commercial contracting activities in Buffalo, New York. This position plays a key role in shaping, reviewing, and negotiating a broad range of business agreements while helping teams understand legal obligations and potential exposure. The ideal candidate brings sound judgment, strong drafting ability, and the confidence to work closely with cross-functional stakeholders in a fast-moving environment.

Responsibilities:
• Lead the preparation, review, and negotiation of commercial agreements such as master service contracts, statements of work, confidentiality agreements, subcontracts, consulting arrangements, and proposal-related documents.
• Evaluate contract terms to uncover legal, financial, and operational concerns, and recommend practical solutions that reduce organizational risk.
• Partner with internal teams to explain contractual commitments, clarify obligations, and support informed business decisions throughout the deal lifecycle.
• Contribute legal guidance during sales and proposal activities by helping shape contract strategy and positioning before agreements are finalized.
• Represent the company in discussions with clients, suppliers, and subcontractors to resolve contract terms and reach workable outcomes.
• Develop and maintain subcontract templates and agreements that align downstream obligations with the requirements of primary customer contracts.
• Oversee contract records, documentation, and data accuracy within the organization’s contract management system.
• Work closely with business development, finance, delivery, and leadership teams to promote compliance with negotiated terms and internal standards.
• Assist with contract-related disputes, performance issues, and other escalations requiring legal or commercial interpretation.• Juris Doctor or bachelor’s degree with equivalent relevant experience, depending on overall contracting and legal background.
• At least 2 years of relevant experience in commercial contracts, legal counsel, contract administration, procurement, or a related field.
• Licensed Attorney required.
• Demonstrated success drafting, revising, and negotiating a variety of commercial agreements.
• Strong understanding of contract risk evaluation, business terms, and practical mitigation approaches.
• Excellent written communication skills with a high level of accuracy and attention to detail.
• Ability to manage competing priorities and contract deadlines in a dynamic business setting.
• Familiarity with corporate law, contract management practices, and related legal issues; exposure to employment or immigration law is helpful.
