JOB PURPOSE

The Temporary Paralegal and Compliance Administrator supports the Assistant General Counsel’s (“AGC”) oversight of legal compliance of corporate structure and governance, HIPAA, contracts, and tax matters. They act as the frontline interface with various staff on issues involving contracts, and work under AGC oversight to provide solutions and guidance.


RESPONSIBILITIES

Legal Support (60%)

1.Research federal, state or local laws and other legal guidance, primarily in nonprofit/tax exempt law, health law/HIPAA, general corporate law.

2.Draft, review, and revise contracts, legal memoranda, and other legal guidance; work with internal stakeholders on vendor procurement; and ensure consistency across the Foundation and adherence to the Foundation’s core values.

3.Maintain a file of Foundation’s contracts and calendar term reminders and renewal dates and alert staff of the same.

4.Draft memoranda, presentations, or communications to Foundation staff regarding laws and policies.

5. Perform other duties as assigned by management.


Corporate Structure and Governance Compliance (20%)

1. Institutionalize the legal records of the organization, by acting as corporate custodian of records. Specific duties include, but are not limited to, custodian of all corporate documents, and the planning, management, implementation, execution, and completion of specific projects for the AGC, ensuring consistency with organizational strategy, commitments, and goals.

2. Create and maintain searchable databases containing minutes of all Foundation-related entities from 1924 forward, corporate formation documents and other legal records.

3. Administer the Foundation’s annual Conflict of Interest policy and process.

4. For each entity and affiliate, assure the appropriate scheduling of all board and committee meetings in the correct order and timeframe, review agendas reflecting the key governance functions and draft minutes that reflect the required governance actions in accordance with state and federal guidelines.

5. Perform other duties as assigned by management.


Tax Compliance (10%)

1. Provide support to the Community Affairs team for all donations to the Foundation and/or its related entities.

2. Manage donation compliance through coordination with the VP of Finance and outside tax accountants.

3. Assist Finance team with annual tax audit.

4. Assist AGC with overseeing all charitable governance, policy, and compliance disclosures, as well as Affordable Care Act disclosures, in the Form 990 tax returns, as well as any other required tax forms or disclosures.

5. Perform other duties as assigned by management.


HIPAA Compliance (10%)

1. Provide support to the AGC, Privacy Officer, Security Officer, and other HIPAA committee members for HIPAA compliance review responsibilities.

2. Perform other duties as assigned by management or the Foundation’s HIPAA committee.

REQUIRED QUALIFICATIONS

1. Bachelor’s degree, or equivalent experience.

2. Minimum of seven years of paralegal experience with complex corporate and tax structures. 3. Minimum of seven years of experience with all activities associated with contract administration.

4. In-depth knowledge of corporate, tax, and nonprofit law, and complex corporate structures.

5. Demonstrated high-level analytical skills.

6. High proficiency with Microsoft Office, including Word, Excel, Powerpoint and Outlook.

7. Demonstrated ability to manage complex projects to completion.
