Corporate M&A Associate / Counsel Attorney

Direct Counsel is seeking a Corporate M&A Associate or Counsel with 7+ years of transactional experience to join a sophisticated Business practice. This is an exceptional opportunity for an experienced corporate attorney looking to lead complex mergers and acquisitions while advising clients on a broad range of strategic business transactions across multiple industries.

The ideal candidate will have significant experience independently managing sophisticated M&A transactions, private equity deals, joint ventures, and general corporate matters while serving as a trusted advisor to clients and mentoring junior attorneys.

Responsibilities

• Lead sophisticated mergers and acquisitions from initial structuring through closing.
• Draft, review, and negotiate:
  • Purchase and sale agreements
  • Ancillary transaction documents
  • Commercial agreements
  • LLC agreements
  • Corporate governance documents
• Manage legal due diligence and coordinate transaction execution.
• Advise clients on:
  • Mergers and acquisitions
  • Private equity transactions
  • Joint ventures
  • Entity formation
  • General corporate governance
• Coordinate with tax, real estate, finance, regulatory, and other specialists on multidisciplinary transactions.
• Manage client relationships and serve as the primary point of contact throughout complex engagements.
• Mentor junior attorneys and collaborate with colleagues across multiple practice areas and offices.
• Provide practical, business-focused legal advice to clients across a variety of industries.

Qualifications

• J.D. from an accredited law school with a strong academic record.
• Active admission to the Florida Bar.
• 7+ years of corporate transactional experience.
• Significant experience leading complex mergers and acquisitions.
• Experience handling:
  • Private equity transactions
  • Joint ventures
  • Entity formation
  • Commercial contracts
• Strong drafting, negotiation, analytical, and client counseling skills.
• Ability to independently manage sophisticated transactions from inception through closing.
• Excellent project management and organizational abilities.
• Comfortable working with legal technology and modern transaction management tools.

Preferred Qualifications

• Experience with debt financing transactions.
• Experience representing clients in:
  • Hospitality
  • Sports
  • Entertainment
  • National corporate businesses
• Prior experience mentoring junior attorneys and leading transaction teams.
