Overview
This role supports STN's acquisition activity from due diligence through post-close integration, partnering with deal teams to evaluate targets, record purchase accounting entries, and align acquired companies' financial operations with corporate policy.
Key ResponsibilitiesDue Diligence & Deal Analysis
  • Support financial due diligence on target companies, reviewing historical financials, accounting policies, and internal controls
  • Identify accounting policy differences between the target and the acquirer (GAAP vs. non-GAAP, revenue recognition practices, etc.)
  • Assist in quality of earnings (QoE) analysis and identification of potential deal risks or adjustments
  • Review target's balance sheet for unrecorded liabilities, contingencies, or valuation concerns

Purchase Accounting & Opening Balance Sheet
  • Prepare and support purchase price allocation (PPA), including identification and valuation of tangible and intangible assets acquired
  • Record opening balance sheet entries for the acquired entity, including goodwill calculation
  • Ensure proper accounting for contingent consideration, earnouts, and holdbacks

Post-Acquisition Integration
  • Lead or support the integration of acquired company's financial records into the parent company's ERP/accounting systems
  • Map acquired entity's chart of accounts to the parent's chart of accounts
  • Align acquired company's accounting policies and procedures with corporate policy
  • Support harmonization of close calendars, reporting packages, and internal control processes
Experience & QualificationsRequired
  • Bachelor's degree in Accounting or Finance (or equivalent experience)
  • 3-5 years of accounting experience, ideally including M&A, transaction services, or technical accounting
  • Solid understanding of US GAAP, including business combinations (ASC 805)
  • Experience with account reconciliations, journal entries, and financial statement preparation

Preferred
  • CPA license
  • Public accounting experience (audit or transaction advisory services)
  • Prior involvement in M&A due diligence, purchase accounting, or ERP system integrations
  • Experience mapping charts of accounts across entities

  • Analytical Thinking: Breaks down complex target-company financials to surface risks and adjustments
  • Collaboration: Works cross-functionally with deal teams, corporate development, and acquired companies' finance staff
  • Project Management: Keeps multiple integration workstreams and deadlines on track
  • Adaptability: Comfortable navigating the ambiguity and changing scope inherent to M&A work
Compensation
  • Full-Time, Exempt
  • $110,000-$135,000/year, DOE
