Locations: New York, NY | Charlotte, NC | Los Angeles, CA
Salary: $235,000–$365,000

Direct Counsel is seeking a Structured Finance & Derivatives Associate Attorney to join a leading Am Law firm with a nationally recognized Corporate & Finance practice. This opportunity is ideal for a junior to mid-level associate with 2–5 years of experience handling sophisticated structured finance transactions, particularly esoteric asset-backed securitizations. The successful candidate will join a collaborative, entrepreneurial team that provides early responsibility, direct partner interaction, and exposure to complex domestic and cross-border transactions.

Responsibilities
  • Represent clients in sophisticated structured finance and derivatives transactions.
  • Advise on esoteric asset-backed securitizations and related financing structures.
  • Draft, review, and negotiate transaction documents and ancillary agreements.
  • Manage transaction workstreams from inception through closing.
  • Conduct legal due diligence and analyze transaction structures.
  • Collaborate with attorneys across multiple practice areas on complex financing matters.
  • Assist with cross-border transactions involving domestic and international clients.
  • Communicate directly with clients, opposing counsel, financial institutions, and transaction participants.
  • Support business development initiatives and contribute to client service efforts.
  • Stay current on developments affecting structured finance, derivatives, and capital markets.
Qualifications
  • J.D. from an ABA-accredited law school with strong academic credentials.
  • Active bar admission (or eligibility for admission) in New York, North Carolina, or California.
  • 2–5 years of experience in structured finance, with a focus on esoteric asset-backed securitizations.
  • Additional experience in leveraged finance, asset finance, banking, project finance, fund finance, or tax is highly desirable.
  • Strong drafting, negotiation, analytical, and organizational skills.
  • Ability to manage multiple priorities in a fast-paced environment.
  • Demonstrated initiative, sound judgment, and the ability to work independently while collaborating effectively with team members.
  • Interest in cross-border transactions and working with clients across multiple jurisdictions.
  • Excellent written, verbal, and interpersonal communication skills.
Compensation & Benefits
  • Competitive base salary of $235,000–$365,000, depending on experience and qualifications.
