Finance (UCC) Associate Attorney
Location: New York, New York

Direct Counsel is representing a leading Am Law firm seeking a mid-level Associate Attorney to join its Finance group in New York, with a focus on UCC and secured transactions. This is an excellent opportunity to develop deep expertise in Article 9 secured transactions and Article 8 investment securities matters while working on sophisticated finance matters across a top-tier platform.

The ideal candidate will have approximately 4–6 years of finance or secured lending experience, with strong interest in UCC issues and structured credit documentation.

Key Responsibilities
  • Advise clients on secured lending transactions with a focus on UCC Article 9 and Article 8 matters
  • Review and analyze security documentation and collateral structures
  • Assist in drafting and negotiating security interest opinions
  • Counsel clients on personal property security interests and related financing structures
  • Monitor and interpret developments in the UCC and related commercial law
  • Support broader Finance and cross-practice transactional teams on secured lending issues
  • Contribute to internal knowledge management materials and best practices
Qualifications
  • 4–6 years of experience in finance, secured lending, or related transactional work
  • Experience with secured transactions and financing documentation required
  • Familiarity with UCC Article 9 and Article 8 strongly preferred
  • Experience reviewing or working with security interest opinions is a plus
  • Strong analytical, drafting, and communication skills
  • Excellent academic credentials
  • Ability to work collaboratively across multiple practice groups
  • Admission to the New York Bar or eligibility to waive in

Compensation
  • Expected salary range: $310,000 – $390,000
