Direct Counsel is seeking a mid-level Real Estate Finance Associate to join an Am Law 100 firm in New York.

This is an outstanding opportunity for a 3–5 year associate attorney to join a premier Real Estate Finance practice representing leading institutional lenders, investment managers, hedge funds, and financial institutions in sophisticated commercial real estate transactions across the country.

The practice is highly lender-side and transaction-driven, with work spanning a broad range of complex financing structures, including:

• Senior mortgage financings
• Mezzanine loans
• Bridge and construction financings
• Preferred equity investments
• Loan portfolio acquisitions and sales
• Structured secondary market transactions
• Restructurings and modifications
• Matters involving both performing and distressed assets

Key Responsibilities

• Drafting and negotiating loan documents and ancillary transaction agreements
• Advising institutional lenders on complex CRE finance structures
• Handling mezzanine, bridge, and construction loan transactions
• Supporting preferred equity and secondary market deals
• Assisting with loan workouts, restructurings, and distressed asset modifications
• Coordinating transaction execution across counterparties, borrowers, and internal deal teams

Qualifications

• 3–5 years of real estate finance experience
• Strong experience representing lenders and financial institutions
• Exposure to commercial mortgage, mezzanine, and structured finance transactions
• Excellent drafting, negotiation, and deal management skills
• Ability to work in a fast-paced, sophisticated transactional environment

Compensation

The expected salary range for this role is $260,000 – $365,000, depending on class year, experience, and overall qualifications.
