Direct Counsel is seeking an Asset-Backed Finance Mid/Senior Associate Attorney to join a premier global law firm in New York, New York. This is an exceptional opportunity to join a market-leading finance practice representing sophisticated financial institutions, issuers, lenders, underwriters, placement agents, collateral managers, and emerging companies in complex structured finance and securitization transactions.
The ideal candidate will have significant experience handling asset-backed finance transactions or asset-based lending matters and will be eager to work on cutting-edge financing structures within a collaborative and growing practice.
ResponsibilitiesRepresent borrowers, lenders, issuers, underwriters, placement agents, and collateral managers in asset-backed finance and structured finance transactions.
Advise clients through all phases of securitization and structured finance offerings.
Draft, review, and negotiate transaction documents related to asset-backed finance and asset-based lending.
Assist with the structuring, execution, and closing of complex financing transactions.
Collaborate with attorneys across multiple practice groups to provide strategic, business-focused legal counsel.
Manage client relationships while overseeing multiple sophisticated transactions simultaneously.
Stay current on market trends and developments impacting structured finance and securitization.
J.D. from an accredited law school with strong academic credentials.
3–7 years of experience in asset-backed finance, structured finance, securitization, or asset-based lending at a leading law firm.
Experience advising borrowers, lenders, issuers, underwriters, placement agents, and/or collateral managers in structured finance offerings.
Strong drafting, negotiation, and transaction management skills.
Excellent analytical, organizational, and communication abilities.
Ability to thrive in a fast-paced, team-oriented environment while managing sophisticated client matters.
Active bar admission and good standing in the jurisdiction where hired or eligibility to become admitted.

CompensationSalary Range: $260,000–$435,000 annually, depending on experience and other relevant factors.
