Securities & Capital Markets Associate Attorney
Location: Richmond, VA
Compensation: $225,000–$365,000

Direct Counsel is seeking a Securities & Capital Markets Associate to join the Richmond office of a leading Am Law firm. This opportunity is ideal for an attorney with 1–5 years of debt finance or secured lending experience who is looking to work on sophisticated borrower-side financing transactions alongside a nationally recognized finance team.

The ideal candidate has experience representing corporate borrowers, private equity sponsors, or lenders in complex financing transactions and is interested in building a practice focused on leveraged finance, acquisition financings, fund finance, and other strategic debt transactions.

Responsibilities
  • Represent corporate borrowers, private equity sponsors, and other clients in a broad range of debt financing transactions.
  • Draft, review, and negotiate commitment papers, credit agreements, security agreements, intercreditor agreements, and other financing documents.
  • Manage transaction execution, including coordinating due diligence, deal timelines, and closing processes.
  • Advise clients on capital structure considerations, financing terms, and transaction strategy.
  • Assist with debt covenant analysis, amendments, waivers, consents, forbearance agreements, and other post-closing financing matters.
  • Support transactions involving secured and unsecured revolving credit facilities, bridge loans, term loans, acquisition financings, recapitalizations, fund finance, and restructuring matters.
  • Collaborate with attorneys across corporate, private equity, M&A, and finance practices to provide comprehensive legal solutions.
Qualifications
  • J.D. from an ABA-accredited law school with strong academic credentials.
  • 1–5 years of experience representing borrowers, private equity sponsors, and/or lenders in debt financing transactions.
  • Experience with secured lending transactions and financing documentation is preferred.
  • Familiarity with Article 9 of the Uniform Commercial Code.
  • Experience with acquisition financings, commitment papers, M&A transactions, or general corporate matters is a plus.
  • Strong drafting, analytical, negotiation, and project management skills.
  • Excellent communication and interpersonal abilities with a client-focused approach.
  • Active membership in the Virginia Bar.
Compensation & Benefits
  • Competitive base salary of $225,000–$365,000, depending on experience.
