Direct Counsel is seeking a Capital Markets Associate with 4–6 years of securities and capital markets experience to join a premier corporate practice representing issuers, private equity sponsors, portfolio companies, and underwriters in sophisticated capital markets transactions.

This is an exceptional opportunity for attorneys interested in advising clients on high-profile securities offerings and strategic capital-raising transactions across a broad range of industries. The ideal candidate will have strong transactional experience, outstanding academic credentials, and a desire to work on complex domestic and international capital markets matters.

Responsibilities
  • Advise issuers, private equity sponsors, portfolio companies, and underwriters in securities offerings and capital markets transactions
  • Draft and negotiate offering documents, registration statements, disclosure documents, and transaction agreements
  • Support public and private debt and equity offerings, including IPOs, follow-on offerings, and other securities transactions
  • Assist clients with securities law compliance, disclosure obligations, and corporate governance matters
  • Conduct legal due diligence and coordinate transaction execution across multidisciplinary deal teams
  • Work closely with clients, investment banks, underwriters, and other transaction participants throughout the deal process
  • Collaborate with attorneys across private equity, M&A, finance, tax, and executive compensation practices
Qualifications
  • 4–6 years of securities-related and/or capital markets transactional experience
  • Experience representing issuers, sponsors, underwriters, or investors in sophisticated securities transactions
  • Strong understanding of federal securities laws, public company disclosure requirements, and capital markets practices
  • Excellent drafting, negotiation, analytical, and project management skills
  • Outstanding academic credentials and attention to detail
  • Ability to manage multiple complex transactions in a fast-paced environment
Compensation & Benefits
  • Base salary range: $310,000 – $390,000
