Direct Counsel is partnering with a well-established real estate organization to identify an experienced In-House Transactional Real Estate Attorney to join its legal team.

This role offers the opportunity to work closely with company executives, asset management, and property management teams in a fast-paced, dynamic environment. The ideal candidate is a strategic legal advisor who can align legal guidance with business objectives while independently managing complex real estate transactions.

Key Responsibilities
  • Draft, review, and negotiate a broad range of real estate and commercial agreements, including:

    • Purchase and sale agreements

    • Office, medical, and retail leases

    • Commercial financing instruments, including CMBS loans

    • Construction contracts

    • Agreements with brokers, architects, vendors, and other third parties

  • Conduct comprehensive legal due diligence for acquisitions, including identifying and resolving title issues and ensuring clear ownership.

  • Coordinate litigation matters with outside counsel and support matters involving 1031 exchanges, evictions, easements, eminent domain, and permitting.

  • Research, interpret, and apply applicable local, state, and federal real estate laws.

  • Identify legal risks related to operational matters, manage complex insurance claims, and ensure compliance with all applicable laws and regulations.

  • Advocate effectively for the company’s interests in transactions and dispute resolution.

  • Communicate clearly and effectively with principals, executives, property managers, brokers, and other stakeholders.

Qualifications
  • Minimum of 10 years of real estate law experience in California.

  • Strong background in commercial leasing, acquisitions and dispositions, finance, construction, and development.

  • Proven ability to operate independently in a high-volume, in-house environment while maintaining a business-oriented mindset.

Preferred Experience
  • Prior experience working in-house at a real estate investment firm.

  • Familiarity with estate planning matters is a plus.
