Direct Counsel is seeking a Corporate / Mergers & Acquisitions Associate Attorney to join a leading global law firm's Corporate Group in Dallas. This opportunity is ideal for a mid-level associate with 3–5 years of experiencerepresenting public and private companies in sophisticated Mergers & Acquisitions, private equity, venture capital, securities, and general corporate matters.
The successful candidate will play an integral role on deal teams, handling key aspects of middle-market transactions from due diligence through closing and gaining meaningful responsibility for drafting, negotiations, client service, and transaction management.
ResponsibilitiesRepresent public and private companies in Mergers & Acquisitions, private equity, venture capital, securities offerings, and general corporate matters.
Advise clients on a broad range of domestic corporate transactions.
Draft, review, and negotiate acquisition agreements, equity agreements, investment agreements, and other transaction documents.
Support private equity and venture capital transactions, including related investment agreements.
Manage key aspects of transactions from due diligence through closing.
Conduct and coordinate legal due diligence and identify and address transaction risks.
Prepare acquisition, equity, and related documents in a polished, client-ready format.
Serve as a key member of deal teams and coordinate with clients, opposing counsel, financial advisors, and other transaction participants.
Assist with transaction structuring and strategic decision-making.
Advise clients on securities law compliance and other general corporate matters.
Manage multiple transactions across a range of sizes and levels of complexity, with an emphasis on middle-market transactions.
J.D. from an accredited law school.
3–5 years of experience practicing in Mergers & Acquisitions, corporate, private equity, and/or venture capital law.
Experience representing public and private clients in Mergers & Acquisitions, private equity, venture capital, securities offerings, and general corporate matters.
Hands-on experience drafting and negotiating complex Mergers & Acquisitions and private equity transaction documents.
Experience with related investment agreements.
Demonstrated ability to manage key transaction workstreams from due diligence through closing.
Strong drafting, negotiation, analytical, and organizational skills.
Excellent written and verbal communication abilities.
Ability to work effectively as part of a sophisticated deal team in a fast-paced environment.
Experience with middle-market transactions is preferred.
Active Texas Bar admission required.
Competitive base salary of $235,000–$365,000, depending on experience and qualifications.
