Private Equity / Mergers & Aquisitions Associate Attorney

Direct Counsel is seeking a mid-level Corporate Associate to join a top-tier AmLaw firm’s Private Equity and M&A group in New York. This is an excellent opportunity to work with leading financial sponsors and strategic clients on sophisticated, high-value transactions in a fast-paced and collaborative environment.

• Represent private equity sponsors, portfolio companies, and strategic buyers/sellers in a variety of transactions
• Handle all aspects of M&A transactions, including leveraged buyouts, sell-side deals, growth equity investments, and minority investments
• Draft, review, and negotiate transaction documents, including purchase agreements and ancillary agreements
• Conduct due diligence and manage deal execution from start to finish
• Work closely with senior attorneys and clients to develop and implement transaction strategies
• Coordinate with specialists across practice areas to support complex transactions

• Minimum 3+ years of experience in M&A and/or private equity transactions at a top-tier law firm
• Strong experience representing financial sponsors and/or strategic clients
• JD from an accredited law school
• Admission to the New York Bar required

• Strong analytical and problem-solving abilities
• High attention to detail and organizational skills
• Ability to manage multiple transactions in a fast-paced environment
• Strong interpersonal and client management skills

• Salary range: $260,000 – $435,000, commensurate with experience
