Job Description
Direct Counsel is seeking a Corporate & Finance – Mergers & Acquisitions Associate Attorney to join a prestigious Am Law firm in Baltimore, Maryland.
This is an exceptional opportunity for an attorney with 1-3 years of corporate law experience to join a nationally recognized Corporate & Finance practice. The team advises clients on sophisticated mergers and acquisitions, capital markets transactions, and public company advisory matters across a broad range of industries, including technology, aerospace and defense, government services, life sciences, energy, and financial services.
ResponsibilitiesAssist with domestic and cross-border mergers and acquisitions and other corporate transactions.
Support capital markets offerings and public company advisory matters.
Draft, review, and negotiate corporate transaction documents and ancillary agreements.
Conduct legal due diligence and assist with transaction management and closings.
Perform legal research and prepare memoranda on corporate law issues.
Collaborate with senior attorneys and clients on complex, high-profile transactions.
Manage multiple assignments while delivering exceptional client service.
Develop increasing responsibility on sophisticated corporate matters within a collaborative team environment.
J.D. from an ABA-accredited law school.
Active membership in a U.S. state bar.
1-3 years of relevant corporate law experience.
Experience supporting mergers and acquisitions, capital markets transactions, or public company advisory matters.
Excellent analytical, legal research, drafting, and communication skills.
Strong attention to detail and the ability to manage multiple priorities in a fast-paced environment.
Outstanding academic credentials and a demonstrated commitment to professional growth and client service.
Salary: $225,000-$260,000, commensurate with experience and qualifications.
