Corporate & Finance – Mergers & Acquisitions Associate Attorney

Direct Counsel is seeking a Corporate & Finance – Mergers & Acquisitions Associate Attorney to join a prestigious Am Law firm in Baltimore, Maryland.

This is an exceptional opportunity for an attorney with 1-3 years of corporate law experience to join a nationally recognized Corporate & Finance practice. The team advises clients on sophisticated mergers and acquisitions, capital markets transactions, and public company advisory matters across a broad range of industries, including technology, aerospace and defense, government services, life sciences, energy, and financial services.

Responsibilities
  • Assist with domestic and cross-border mergers and acquisitions and other corporate transactions.

  • Support capital markets offerings and public company advisory matters.

  • Draft, review, and negotiate corporate transaction documents and ancillary agreements.

  • Conduct legal due diligence and assist with transaction management and closings.

  • Perform legal research and prepare memoranda on corporate law issues.

  • Collaborate with senior attorneys and clients on complex, high-profile transactions.

  • Manage multiple assignments while delivering exceptional client service.

  • Develop increasing responsibility on sophisticated corporate matters within a collaborative team environment.

Qualifications
  • J.D. from an ABA-accredited law school.

  • Active membership in a U.S. state bar.

  • 1-3 years of relevant corporate law experience.

  • Experience supporting mergers and acquisitions, capital markets transactions, or public company advisory matters.

  • Excellent analytical, legal research, drafting, and communication skills.

  • Strong attention to detail and the ability to manage multiple priorities in a fast-paced environment.

  • Outstanding academic credentials and a demonstrated commitment to professional growth and client service.

Compensation & Benefits
  • Salary: $225,000-$260,000, commensurate with experience and qualifications.
