Energy Project Finance Associate (3-5yrs) - Houston

Direct Counsel represents a prestigious AmLaw firm seeking a Project Finance Associate with 3–5 years of experience to join its nationally recognized Energy & Infrastructure practice. This opportunity is ideal for attorneys with renewable energy project finance experience, particularly involving debt and tax equity transactions.

This role offers the opportunity to represent sponsors, lenders, tax equity investors, and other financing parties in connection with the development, acquisition, and financing of renewable energy projects across the United States.

Responsibilities:

• Advise clients on renewable energy project finance transactions
• Draft and negotiate debt and tax equity financing documents
• Structure and manage project finance transactions from inception through closing
• Prepare and negotiate loan agreements, security documents, guarantees, and related financing agreements
• Draft and negotiate tax equity partnership agreements, lease structures, capital contribution agreements, and related documents
• Coordinate transaction teams, due diligence, closings, and post-closing matters
• Work directly with clients, lenders, investors, and third-party advisors
• Mentor junior associates and assist with transaction management

Qualifications:

• Juris Doctor (JD) from an accredited law school
• 3–5 years of project finance experience within the energy industry
• Strong experience with debt financing transactions, including construction debt, term debt, and equipment financing
• Experience with tax equity structures, including partnership and leasing arrangements
• Familiarity with renewable energy project development and operational agreements, including EPC, supply, offtake, and O&M agreements
• Strong drafting, negotiation, analytical, and project management skills
• Excellent communication and client relationship skills
• Strong academic credentials
• Licensed and in good standing with the applicable state bar

Compensation & Benefits:

• Salary range: $260,000 – $365,000 annually
