Direct Counsel is seeking a Renewable Energy M&A Associate to join the Energy Practice of a leading Am Law firm. This opportunity is ideal for an attorney with 1–8 years of transactional experience who is interested in working on sophisticated renewable energy, project finance, and corporate transactions at the forefront of the energy transition.
The ideal candidate has experience with project finance, energy transactions, tax equity financings, or corporate M&A and is excited to advise clients developing, financing, acquiring, and operating renewable energy infrastructure projects.
Responsibilities- Support the development, construction, financing, acquisition, and disposition of renewable energy and energy infrastructure projects.
- Assist in structuring and negotiating tax equity financings, tax credit transfer transactions, preferred equity investments, joint ventures, and other project-level financing arrangements.
- Advise clients on tax credit monetization strategies involving renewable energy and energy transition projects.
- Represent developers, sponsors, tax equity investors, tax credit buyers, lenders, and other market participants in complex energy transactions.
- Assist with mergers, acquisitions, divestitures, and other strategic corporate transactions involving energy and infrastructure assets.
- Draft, review, and negotiate transaction documents while conducting legal due diligence.
- Collaborate with multidisciplinary teams to provide practical, business-focused legal advice throughout all phases of sophisticated transactions.
- J.D. from an ABA-accredited law school with strong academic credentials.
- 1–8 years of experience in project finance, energy transactions, tax equity, corporate M&A, or other sophisticated transactional practices.
- Experience with renewable energy, infrastructure, or project finance transactions is preferred, though candidates with strong transferable transactional experience are encouraged to apply.
- Strong drafting, negotiation, analytical, and organizational skills.
- Ability to manage multiple complex matters in a collaborative, fast-paced environment.
- Demonstrated interest in renewable energy, clean energy technologies, project finance, and the energy transition.
- Active bar admission in the applicable jurisdiction or eligibility for admission.
