Direct Counsel is seeking a Corporate Associate to join a premier Energy & Infrastructure M&A practice in Houston. This is an exceptional opportunity for an attorney with private equity transactional experience who is looking to work on sophisticated acquisitions, divestitures, joint ventures, and project-related transactions across the energy, infrastructure, power, and renewables sectors.
The ideal candidate will have experience representing private equity sponsors and advising clients on complex transactions involving energy and infrastructure assets.
Responsibilities- Advise private equity sponsors, project developers, infrastructure funds, utilities, and asset owners on strategic transactions
- Represent clients in:
- Acquisitions and divestitures
- Joint ventures
- Infrastructure investments
- Energy transactions
- Strategic corporate transactions
- Lead and support transaction execution from bid process through closing
- Draft and negotiate:
- Purchase and sale agreements
- Joint venture agreements
- Transaction documents
- Ancillary agreements
- Coordinate due diligence and transaction teams
- Work closely with project finance, tax, regulatory, and energy attorneys on multidisciplinary matters
- Advise clients on investments involving:
- Energy infrastructure
- Power generation
- Renewable energy projects
- Utility assets
- Infrastructure platforms
- Manage client relationships and day-to-day transaction responsibilities
- J.D. from an accredited law school
- 4–7 years of private equity M&A experience
- Experience representing energy and infrastructure private equity sponsors preferred
- Significant experience with:
- Mergers and acquisitions
- Joint venture transactions
- Private equity investments
- Infrastructure transactions
- Energy transactions
- Strong drafting, negotiation, and deal management skills
- Experience managing complex transactions from inception through closing
- Excellent analytical and problem-solving abilities
- Strong oral and written communication skills
- Ability to work independently while managing significant responsibility
- Strong academic credentials
- Salary range: $310,000 – $420,000
