Public Companies & Governance Attorney

Direct Counsel is seeking a Corporate Associate Attorney to join a premier law firm’s Public Companies & Governance team in Minneapolis. This is an excellent opportunity to work with a nationally recognized practice advising public companies on securities compliance and corporate governance matters.

• Counsel public companies on '34 Act compliance, including financial reporting and SEC disclosure obligations.
• Advise on corporate governance matters, including executive succession, shareholder proposals, activism, and crisis management.
• Assist with significant governance transactions and regulatory compliance.
• Collaborate with firmwide teams on securities offerings, mergers & acquisitions, and related corporate matters.

• Experience: 4 to 5 years advising public companies on securities compliance and corporate governance.
• Skills: Strong understanding of securities laws, corporate governance issues, and disclosure requirements.
• Preferred: Experience with securities offerings, M&A, or prior in-house counsel work.
• Education: Strong academic credentials from an accredited law school.
• Bar Admission: Must be licensed to practice law.

• Salary range: $245,000 – $265,000.
