Corporate Associate Attorney

Direct Counsel is seeking a Corporate Associate Attorney to join a prestigious Am Law 100 law firm. This is an outstanding opportunity for an attorney with 3–6 years of corporate experience advising emerging growth companies, venture capital investors, and private companies throughout all stages of their lifecycle.

About the Role

The successful candidate will join a sophisticated Corporate practice representing emerging growth companies, venture capital funds, and investors in complex financing transactions and general corporate matters. This role offers significant client interaction, early responsibility, and the opportunity to work on cutting-edge transactions within the startup and venture capital ecosystem.

Responsibilities
  • Represent emerging growth companies and investors in venture capital and growth equity financings.

  • Advise private companies on day-to-day corporate governance and general business matters.

  • Draft, review, and negotiate financing documents, corporate agreements, and related transaction documents.

  • Counsel clients throughout the business lifecycle, from formation through financing and strategic growth.

  • Collaborate with attorneys across practice groups on sophisticated corporate transactions.

  • Manage multiple client matters while delivering practical, business-focused legal advice.

  • Build and maintain strong client relationships through exceptional service and responsiveness.

Qualifications
  • J.D. from an accredited law school.

  • 3–6 years of U.S. corporate law experience at a large or sophisticated mid-sized law firm.

  • Significant experience representing both companies and investors in venture capital and growth equity financings.

  • Experience advising private companies on day-to-day corporate matters.

  • Strong drafting, negotiation, analytical, and communication skills.

  • Demonstrated ability to take ownership of matters and manage client relationships.

  • Collaborative mindset with the ability to thrive in a team-oriented environment.

Compensation

$260,000 – $495,000, depending on experience and qualifications.
