Overview
Direct Counsel is seeking a mid-level Corporate Associate to join a leading law firm’s Healthcare Practice in Denver. This role offers hands-on involvement in complex M&A and private equity transactions, with meaningful client interaction and increasing responsibility.

Responsibilities

• Draft and negotiate M&A and transaction documents
• Structure and execute private equity and corporate deals
• Prepare governance documents (bylaws, operating agreements, partnership agreements)
• Manage due diligence and oversee junior team members
• Work directly with clients and collaborate across deal teams

Qualifications

• 3–4 years of corporate/M&A experience
• Experience working with private equity clients and transactions
• Strong drafting, negotiation, and organizational skills
• Ability to manage transactions with increasing independence
• Colorado Bar admission required

Compensation & Benefits

• $215,000 – $240,000 base salary + bonus
