Mid-Level Finance Associate Attorney
Location: Boston, MA

Direct Counsel is seeking a Mid-Level Finance Associate Attorney to join the Global Finance practice of a premier Am Law firm in Boston. This is an exceptional opportunity to build a sophisticated finance practice at the intersection of private credit, fund finance, and collateralized loan obligations (CLOs) while working with one of the industry's leading structured credit teams.

The ideal candidate will have 3–5 years of transactional experience and a strong interest in developing expertise in private credit and structured finance. While prior experience in these specific practice areas is beneficial, candidates with solid transactional backgrounds and a demonstrated desire to learn are encouraged to apply.

Responsibilities
  • Represent asset managers, direct lenders, private equity sponsors, borrowers, and other financial institutions in sophisticated financing transactions.

  • Assist with structuring, negotiating, and documenting private credit, fund finance, CLO, and other structured finance transactions.

  • Draft and review credit agreements, financing documents, security agreements, and related transaction documentation.

  • Support transaction teams through all stages of financing matters, including due diligence, negotiation, execution, and closing.

  • Work closely with partners and senior attorneys on innovative financing structures and evolving market products.

  • Develop strong client relationships while contributing to a collaborative, high-performing Global Finance practice.

Qualifications
  • J.D. from an accredited law school with strong academic credentials.

  • 3–5 years of transactional law experience at a law firm.

  • Some finance experience is strongly preferred.

  • Prior experience with securitization, structured finance, collateralized loan obligations (CLOs), fund finance, or subscription credit facilities is helpful but not required.

  • Demonstrated intellectual curiosity and a genuine interest in developing expertise in private credit and structured finance.

  • Excellent drafting, analytical, negotiation, and communication skills.

  • Ability to thrive in a collaborative, fast-paced environment while managing multiple sophisticated transactions.

  • Active bar admission, or eligibility for admission, in Massachusetts.

Compensation & Benefits
  • Salary: Starting at $260,000, with compensation commensurate with class year and experience.
