Corporate & Finance – Mergers & Acquisitions Associate Attorney

Direct Counsel is seeking a Corporate & Finance – Mergers & Acquisitions Associate Attorney to join a prestigious Am Law firm in Baltimore, Maryland.

This is an exceptional opportunity for an attorney with 3-5 years of mergers and acquisitions experience to join a nationally recognized Corporate & Finance practice. The team advises clients on sophisticated domestic and cross-border M&A transactions, strategic alliances, joint ventures, and other complex corporate matters across a broad range of industries, including technology, aerospace and defense, government services, life sciences, energy, and financial services.

Responsibilities
  • Advise clients on domestic and cross-border mergers and acquisitions.

  • Structure, negotiate, and document complex M&A transactions, strategic alliances, and joint ventures.

  • Draft and negotiate purchase agreements, ancillary transaction documents, and other corporate agreements.

  • Conduct legal due diligence and manage multiple transaction workstreams.

  • Advise clients on corporate governance matters and general corporate issues.

  • Collaborate directly with sophisticated client management teams and multidisciplinary legal teams.

  • Mentor and supervise junior associates while supporting the successful execution of complex transactions.

  • Assist with securities issuances and private equity financing transactions, as applicable.

Qualifications
  • J.D. from an ABA-accredited law school.

  • Active membership in a U.S. state bar.

  • 3-5 years of relevant corporate law experience at a national or international law firm.

  • Significant experience advising on domestic and cross-border mergers and acquisitions.

  • Experience with strategic alliances and joint ventures is preferred.

  • Experience advising on corporate governance matters; familiarity with securities offerings or private equity financings is a plus.

  • Excellent drafting, negotiation, analytical, and communication skills.

  • Strong academic credentials and the ability to manage multiple sophisticated transactions in a collaborative, team-oriented environment.

Compensation & Benefits
  • Salary: $260,000-$365,000, commensurate with experience and qualifications.
