Mergers & Acquisitions Associate Attorney

Direct Counsel is seeking a Mergers & Acquisitions Associate Attorney to join a prestigious Am Law firm in Philadelphia, Pennsylvania.

This is an exceptional opportunity for an attorney with 4-6 years of mergers and acquisitions experience to join a sophisticated and growing Corporate practice. The team advises public and private companies on complex domestic and cross-border transactions across a broad range of industries, including life sciences, healthcare, energy, consumer products, and financial services.

Responsibilities
  • Represent public and private companies in domestic and cross-border mergers, acquisitions, and other strategic corporate transactions.

  • Conduct legal due diligence for acquisition and investment transactions.

  • Draft, review, and negotiate purchase agreements, ancillary transaction documents, and other corporate agreements.

  • Advise clients on general corporate governance and transactional matters.

  • Counsel clients on issues arising under Delaware and New York corporate law and federal securities laws.

  • Coordinate transaction execution and manage deal timelines while working closely with client teams.

  • Collaborate with multidisciplinary legal teams on sophisticated corporate transactions.

  • Provide practical, business-focused legal advice throughout all stages of complex M&A transactions.

Qualifications
  • J.D. from an ABA-accredited law school.

  • Active membership in the Pennsylvania Bar.

  • 4-6 years of mergers and acquisitions and general corporate experience.

  • Experience conducting due diligence, drafting transaction agreements, and managing sophisticated corporate transactions.

  • Familiarity with Delaware and New York corporate law and federal securities laws.

  • Experience at a large regional, national, or international law firm is preferred.

  • Excellent analytical, drafting, negotiation, and communication skills.

  • Outstanding academic credentials, strong interpersonal skills, and the ability to thrive in a collaborative, team-oriented environment.

Compensation & Benefits
  • Salary: $260,000-$390,000, commensurate with experience and qualifications.
