Direct Counsel is seeking an Of Counsel attorney to join a premier Mergers & Acquisitions and Private Equity practice in New York. This is an exceptional opportunity for a senior transactional attorney looking to take on a leadership role advising sophisticated corporate clients and private equity sponsors on high-profile transactions while enjoying significant client contact, autonomy, and responsibility.

The ideal candidate will have extensive M&A and private equity experience, strong deal management capabilities, and the ability to serve as a trusted advisor on complex transactions from inception through closing.

Responsibilities
  • Advise corporate clients and private equity funds on a broad range of strategic transactions
  • Lead and manage:
    • Mergers and acquisitions
    • Private equity investments
    • Minority investments
    • Strategic transactions
    • Corporate reorganizations
    • General corporate matters
  • Draft and negotiate acquisition agreements and ancillary transaction documents
  • Oversee transaction execution from letter of intent through closing
  • Manage legal due diligence, transaction teams, and client communications
  • Coordinate with tax, finance, employment, regulatory, and other specialist teams
  • Serve as a primary point of contact for clients and transaction stakeholders
  • Mentor junior attorneys and assist in developing best practices within the group
  • Support business development initiatives and strengthen client relationships
Qualifications
  • J.D. from an accredited law school
  • Law school class year 2015 or earlier, or current Of Counsel-level experience
  • Significant experience handling sophisticated M&A and private equity transactions
  • Strong understanding of corporate law and market transaction terms
  • Extensive experience drafting and negotiating complex transaction documents
  • Proven ability to independently manage transactions and client relationships
  • Excellent business judgment and strategic thinking skills
  • Outstanding written, verbal, and interpersonal communication abilities
  • Entrepreneurial mindset and strong client-service orientation
  • Outstanding academic credentials
Compensation & Benefits
