Private Equity M&A Associate (37 Years) St. Louis

Direct Counsel is representing an AmLaw 100 firm seeking a Private Equity M&A Associate to join its St. Louis office. This role offers the opportunity to work on sophisticated middle-market private equity transactions within a collaborative and nationally recognized corporate practice.

• Draft and negotiate definitive and ancillary transaction documents for mergers, acquisitions, and private equity investments

• Support acquisitions, divestitures, and add-on transactions for private equity sponsors and portfolio companies

• Manage due diligence and transaction processes throughout the deal lifecycle

• Advise clients on corporate governance, financing, and strategic transaction matters

• Collaborate with cross-disciplinary teams to support complex business transactions

• J.D. from an accredited law school with strong academic credentials

• 3–7 years of transactional experience, with a focus on private equity M&A or complex corporate transactions

• Law firm or judicial clerkship experience preferred

• Strong drafting, research, and analytical skills

• Excellent written and verbal communication abilities

• Ability to manage multiple transactions in a fast-paced environment

• Missouri Bar admission required
