Direct Counsel is seeking a Capital Markets – Agency CMBS Securitizations Associate Attorney to join a prestigious Am Law firm in Charlotte, North Carolina or New York, New York.
This is an exceptional opportunity for an attorney with 3-6 years of capital markets and securitization experience to join a nationally recognized Capital Markets practice. The team advises clients on sophisticated commercial mortgage loan securitization transactions, providing significant responsibility for drafting complex transaction documents, managing closings, and working directly with clients on high-value structured finance matters.
ResponsibilitiesRepresent clients in commercial mortgage loan securitization and structured finance transactions.

Draft, review, and negotiate transaction documents, including:
Pooling and Servicing Agreements (PSAs)
Offering documents
Mortgage Loan Purchase Agreements (MLPAs)
Certificate Purchase Agreements
Placement Agency Agreements
Legal opinions
Related transaction documents
Manage all aspects of complex transaction closings.
Coordinate with clients, opposing counsel, and transaction parties throughout the deal process.
Conduct legal research and provide strategic advice on commercial mortgage-backed securities (CMBS) transactions.
Collaborate with multidisciplinary legal teams on sophisticated capital markets matters.
J.D. from an ABA-accredited law school.
Active membership in a U.S. state bar.
3-6 years of experience in capital markets, structured finance, or commercial mortgage securitization.
Experience drafting, reviewing, and negotiating commercial mortgage loan securitization documents.
Experience managing complex transaction closings.
Excellent attention to detail, organizational, and project management skills.
Strong analytical, drafting, negotiation, and communication abilities.
Demonstrated ability to work collaboratively while taking ownership of sophisticated transactions.
Salary: $260,000-$390,000, commensurate with experience and qualifications.
