Mid-Level Capital Markets/M&A Associate Attorney

Direct Counsel is seeking a Mid-Level Capital Markets/M&A Associate Attorney to join a highly regarded Am Law 100 law firm in Houston, TX. This is an excellent opportunity for a corporate attorney with experience in capital markets and mergers & acquisitions to work on sophisticated transactions for public and private company clients.

About the Role

The successful candidate will join a nationally recognized Corporate M&A and Securities practice, advising issuers and public companies on capital markets transactions, securities compliance, corporate governance, and strategic M&A matters. This role offers significant client contact and the opportunity to work on complex domestic and international transactions within a collaborative, growth-oriented environment.

Responsibilities
  • Represent issuers in public and private offerings of debt and equity securities.

  • Advise public companies on SEC reporting, disclosure obligations, and corporate governance matters.

  • Prepare and review Exchange Act filings, including Forms 10-K, 10-Q, 8-K, and proxy statements.

  • Interface with the SEC, stock exchanges, and other regulatory agencies.

  • Assist with public and private mergers and acquisitions.

  • Draft, review, and negotiate transaction documents and related corporate agreements.

  • Collaborate with clients and cross-functional legal teams to manage transactions from inception through closing.

Qualifications
  • J.D. from an ABA-accredited law school.

  • 3–5 years of capital markets and corporate law experience.

  • Experience representing issuers in public and private securities offerings.

  • Strong background advising public companies on SEC reporting, disclosure, and corporate governance matters.

  • Experience preparing Exchange Act filings, including Forms 10-K, 10-Q, 8-K, and proxy statements.

  • Experience with public and private M&A transactions is strongly preferred.

  • Licensed in Texas or eligible to become licensed prior to employment.

  • Must reside in the Houston area by the start date and be able to work in the office at least three days per week.

  • Excellent academic credentials and strong communication, organizational, and client relationship management skills.
