Corporate Associate (Mid-level) - Phoenix

Direct Counsel is representing a reputable law firm seeking a Mid-Level Corporate & Securities Associate to join its Phoenix office.

This opportunity is ideal for a corporate associate with 2–6 years of experience handling sophisticated corporate and securities matters. The role offers exposure to a broad range of transactions and advisory work, including mergers and acquisitions, securities compliance, financings, and corporate governance matters.

• Advise clients on:
  • Mergers and acquisitions
  • Corporate governance matters
  • Public and private financing transactions
  • General corporate and business matters
• Assist with securities law compliance, including SEC reporting requirements
• Draft, review, and negotiate transactional and corporate documents
• Support clients through all stages of corporate transactions and regulatory matters
• Work closely with attorneys and clients on complex business transactions

• 2–6 years of corporate and securities experience
• Strong background in:
  • M&A transactions
  • Securities law and SEC reporting
  • Public and private financings
  • Corporate governance
• Experience at a large law firm preferred
• Excellent academic credentials required
• Highly motivated with strong drafting, analytical, and communication skills
• Must be admitted or eligible for admission to the Arizona Bar
