Mid-Level Corporate Associate Attorney

Direct Counsel is representing an AmLaw 100 firm seeking a Mid-Level Corporate Associate Attorney to join its San Francisco office. This opportunity is ideal for an attorney with 4–6 years of corporate transactional experience who is interested in advising businesses on sophisticated commercial and M&A matters.

Responsibilities

• Handle mergers and acquisitions and other corporate transactions
• Advise corporations and pass-through entities on outside general counsel matters
• Draft and negotiate commercial agreements and transactional documents
• Counsel clients on corporate governance, entity formations, financings, and securities law compliance
• Manage significant portions of transactions and coordinate with deal teams and clients

Qualifications

• 4–6 years of corporate transactional experience, preferably at a large law firm
• Strong experience with mergers and acquisitions, corporate governance, entity formations, and commercial transactions
• Excellent drafting, negotiation, analytical, and client relationship skills
• Ability to independently manage transactions and collaborate with senior attorneys
• J.D. from an accredited law school and active California Bar admission

Compensation & Benefits

• Salary Range: $230,000 – $250,000 annually, depending on experience
