Corporate & Finance – Capital Markets Associate Attorney

Direct Counsel is seeking a Corporate & Finance – Capital Markets Associate Attorney to join a prestigious Am Law firm in Philadelphia, Pennsylvania.

This is an exceptional opportunity for an attorney with 2-3 years of corporate and securities experience to join a nationally recognized Corporate & Finance practice. The team advises public companies on a broad range of corporate governance, securities law compliance, and capital markets transactions, providing associates with significant client exposure and opportunities to work on sophisticated public company matters.

Responsibilities
  • Advise public company clients on corporate governance and securities law compliance.

  • Assist with capital markets financings, including public and private securities offerings.

  • Draft and review SEC filings, disclosure documents, and other corporate governance materials.

  • Counsel clients on compliance with the Securities Act of 1933 and the Securities Exchange Act of 1934.

  • Support public company advisory matters and ongoing corporate compliance initiatives.

  • Conduct legal research and prepare memoranda on corporate and securities law issues.

  • Collaborate with clients and multidisciplinary legal teams on sophisticated corporate transactions and securities matters.

Qualifications
  • J.D. from an ABA-accredited law school.

  • Active membership in the Pennsylvania Bar.

  • 2-3 years of experience in corporate and securities law.

  • Experience advising public companies on corporate governance and securities matters.

  • Experience with capital markets financings and public company representations.

  • Strong working knowledge of the Securities Act of 1933 and the Securities Exchange Act of 1934.

  • Excellent legal research, analytical, drafting, and communication skills.

  • Outstanding academic credentials and a demonstrated commitment to delivering exceptional client service.

Compensation & Benefits
  • Salary: $260,000-$365,000, commensurate with experience and qualifications.
