Direct Counsel is seeking a Corporate Associate Attorney to join a highly respected Am Law firm’s New York office.

Position Overview
A leading national firm is seeking a junior Associate Attorney with approximately 1–2 years of experience to join its Corporate Group in New York. This is an excellent opportunity to work within a dynamic, internationally recognized practice focused on advising high-growth companies across technology, life sciences, and other emerging industries.

The ideal candidate will have experience advising public and private companies on general corporate matters, financings, and mergers and acquisitions. Prior experience at a national or international law firm and strong academic credentials from a top-tier law school are strongly preferred.

Key Responsibilities

  • Advise entrepreneurs, venture-backed companies, investors, and financial institutions on corporate matters
  • Support financing transactions, including venture capital and growth equity deals
  • Assist with mergers and acquisitions and general corporate governance matters
  • Draft and review corporate documents, including transaction agreements and ancillary materials
  • Conduct legal research and support deal execution across multiple active matters
  • Collaborate with cross-functional teams on complex corporate transactions

Qualifications

  • Approximately 1–2 years of general corporate experience
  • Experience with public and private company representations, financings, and/or M&A
  • Prior experience at a large law firm strongly preferred
  • Strong academic credentials from a nationally recognized law school
  • Excellent drafting, communication, and analytical skills
  • Ability to work in a fast-paced, high-growth client environment

Compensation
The anticipated base salary for this New York-based Associate Attorney position is $225,000–$260,000 annually, depending on experience, skills, and other job-related factors consistent with applicable law.
