Structured Finance Associate Attorney

Direct Counsel is seeking a Structured Finance Associate Attorney to join a prestigious Am Law firm in Charlotte, North Carolina or New York City.

This is an outstanding opportunity for an attorney with 2-8 years of structured finance experience to join a nationally recognized Structured Finance practice. The team advises on some of the market's most innovative and sophisticated transactions, with a particular focus on Collateralized Loan Obligations (CLOs), asset-based lending, and middle-market leveraged finance.

Responsibilities
  • Advise clients on the structuring, execution, and closing of Collateralized Loan Obligation (CLO) transactions.

  • Represent arrangers, managers, investors, and issuers in middle-market and broadly syndicated loan CLO transactions.

  • Draft, review, and negotiate transaction documents for structured finance and leveraged lending matters.

  • Advise clients on regulatory and compliance issues affecting structured finance transactions.

  • Manage multiple transactions simultaneously while coordinating with clients and multidisciplinary legal teams.

  • Provide practical, business-focused legal advice throughout all stages of complex structured finance transactions.

  • Contribute to a collaborative, team-oriented practice focused on delivering exceptional client service.

Qualifications
  • J.D. from an ABA-accredited law school.

  • Active membership in a U.S. state bar and eligibility to practice in the applicable office jurisdiction.

  • 2-8 years of structured finance experience, with significant exposure to CLOs, asset-based lending, and/or middle-market leveraged loans.

  • Law firm experience handling sophisticated structured finance transactions.

  • Strong drafting, negotiation, analytical, and communication skills.

  • Ability to manage multiple complex transactions and deadlines in a fast-paced environment.

  • Excellent client service, interpersonal, and collaboration skills.

  • Highly motivated with strong academic credentials.

Compensation & Benefits
  • Salary: $235,000-$435,000, commensurate with experience and qualifications.
