Hybrid Position

The Legal and Compliance Coordinator provides comprehensive legal support and regulatory compliance coordination to the company, working under the direct supervision of the Legal Department Director. This role involves supporting a wide range of legal matters including contract review, corporate governance documentation, federal regulatory compliance, employment-related documentation, and case support. The Corporate Paralegal & Compliance Specialist works closely with the Legal Department Director to help address legal claims and support the company's operations, escalating any matter requiring independent legal judgment, negotiation authority, or representation to the Director or outsourced legal counsel.

Principal Roles and Responsibilities

Business in Other Jurisdictions

  • Register the company or any affiliated or subsidiary entities in new jurisdictions where new business or contracts will be performed.
  • Research requirements for compliantly doing business in new jurisdictions.
  • Research required licenses for performing work in new jurisdictions.
  • Research requirements for establishing satellite offices.

Contracts

  • General Contract Review: Review contracts and legal documents related to company operations, including terms and conditions from subcontractors, service providers, and equipment or materials suppliers, flagging issues for the Legal Department Director's review.
  • Clients: Review client solicitation packages and awards to identify relevant clauses, laws, or regulations for the Legal Department Director's interpretation. Prepare and generate contracts with commercial clients.
  • Subcontractors: Generate contracts for subcontractors on any project. Confirm subcontractors comply with all necessary requirements to execute the contracted labor.
  • Equipment: Generate or revise agreements to lease or rent equipment needed for company operations. Conduct pre-screening investigations of subcontractor personnel accessing client premises. Periodically review vendor setup procedures with procurement personnel. Review unusual purchase orders involving equipment or prefabricated machinery for company use or client installation.
  • Other Contracts: Review, draft, or help manage any other contracts or legal documents related to corporate or operational matters of the company or its affiliated or subsidiary entities.

Corporate Management

  • Support the management of subsidiaries or affiliated entities.

Federal Regulatory Compliance & Certifications

  • Review, evaluate, and support the Legal Department Director's interpretation of federal regulations applicable to company operations.
  • Manage, complete, and maintain compliance processes with federal agencies for programs such as SBA 8(a), SBA Women-Owned Small Business (WOSB), HUD HUBZone, Mentor-Protégé Program, and the System for Award Management (SAM) profile, among others.
  • Diligently manage new certifications and certification renewals.

Employment & Labor Relations

  • Support the evaluation and analysis of employer-employee matters across jurisdictions, including applicable labor law doctrines, under the Legal Department Director's supervision.
  • Draft employment contracts.
  • Draft employee warning letters.
  • Draft employee termination letters and job offer letters.
  • Organize and manage the legal and administrative aspects of labor-related cases and files.
  • Perform basic background checks for key positions.
  • Track execution and breaches of certification and training reimbursement contracts.

Extrajudicial Affairs

  • Address initial legal claims by subcontractors, customers, or employees.
  • Manage communication and support the resolution of claims extrajudicially, under the Legal Department Director's direction.
  • Assist the Legal Department Director with research, investigations, and company policy tasks.
  • Manage court compliance aspects of requested garnishments.
  • Draft and communicate with outsourced legal resources and clients on Requests for Equitable Adjustments.

Legal Document Review & Case Support

  • Read, analyze, and organize legal documents related to company operations — including but not limited to contracts, proposals, bonds/guarantees, employee complaints, subpoenas, legal demand letters, lawsuits, insurance claims, and incident reports — escalating any matter requiring legal strategy or judgment to the Legal Department Director or outsourced legal counsel.

Legal Correspondence

  • Draft letters, communications, and legal correspondence with clients, employees, suppliers, and other stakeholders, subject to review by the Legal Department Director as needed.

Insurances

  • Manage CFSE (PR) coverage for contract and administrative employees in Puerto Rico.
  • Renew various insurance coverages (General Liability, Snow Removal, Cars, Pollution, Workers Compensation, etc.) in the US.
  • Assist the Accounting Department with financial details for insurance audits.
  • Manage insurance claims in the US and PR.

Judicial Cases

  • Provide support to the Legal Department Director and outsourced legal resources during judicial processes, if necessary.


Academic and Work Experience Minimum Requirements

  • Bachelor's degree in Paralegal Studies, Legal Studies, Business Administration, or a related field; an Associate's degree in Paralegal Studies combined with equivalent experience will also be considered
  • Paralegal Certificate from an ABA-approved or equivalent program strongly preferred
  • Minimum of 3-5 years of experience as a paralegal, legal assistant, or compliance coordinator, preferably in a corporate, government contracting, or employment law setting
  • Working knowledge of federal government contracting compliance programs (SBA 8(a), Women-Owned Small Business, HUBZone, Mentor-Protégé Program, SAM.gov) strongly preferred
  • Solid understanding of contract review, corporate governance documentation, and general employment law concepts across multiple jurisdictions
  • Strong analytical, organizational, and written/verbal communication skills
  • Bilingual in English and Spanish (written and spoken) required
  • Ability to work under the direct supervision of the Legal Department Director and to escalate matters requiring independent legal judgment, negotiation authority, or legal representation
